CHAPTER
I
GENERAL RULES AND REGULATIONS AND EXHIBITIONS TERMS ANS CONDITIONS
Article 1 – General Rules and Regulations and Contract
1.
All clauses oh these general Rules and Regulations and oh the Appendix
enclosed are accepted by the Exhibitors at the act f enrolment and
applicable to the relations established between Exhibitors (their
staff and subcontracted entities) and F.I.L. SA Fair.
2.
These General Rules and Regulations and the Appendix shall be part
and parcel of the contract for the leasing of space and service
rendered between F.I.L. SA fair and the Exhibitors.
Article 2 – Organization
1.
The Exhibitors is organized by F.I.L. SA Fair, also designated herewith
by Organizers.
2.
Exhibitors shall have no right to redress or indemnification of
any moneys already paid should the Organizers be forced to cancel
the Exhibitors or change the timetable in cases of force majored
or for other beyond their control.
3. In case the Exhibition is not held the Exhibitors will only be
reimbursed for the amounts already paid after the expenses of the
F.I.L. SA Fair have been deducted.
Article 3 – Objectives
The
main objectives of the Exhibitors shall be the presentation of products
or/and services related to the activity of the Exhibition.
Article
4 – Scope
The
scope of the Exhibition shall be defined in the Appendix.
Article
5 – Venue
The
Exhibition shall be held in F.I.L. SA, or in any other venue specially
indicated in the Appendix.
Article
6 – Duration
The
Exhibition shall be held on the days and at the hours indicated
in the Appendix. The duration may be altered as recommended by the
Organizers who shall not be liable to any type of indemnification
for doing so.
Article
7 – Exhibition schedule and conditions
1.
The schedule shall be indicated in the Appendix.
2. The Organizers shall be responsible for setting the entrance
fee and for establishing the Rules and regulations necessary to
the success of the Exhibition.
3. The Organizers shall take the responsibility for ensuring compliance
with the aforementioned Rules and Regulations and may, for this
purpose, define complementary regulations as required..
Article 8 – Admission conditions
1.
All Angolans and foreign companies or their agents or distributors
in Angolans whose activities fall within the scope of the Exhibition
may participate.
2. Group participation is also admitted – groups of Exhibitors
with some affinities – as long as the names of the manufactures
of the products exhibited are mentioned.
3.
Exhibitors who wish to publish the names of the firms they are representing
in the Official Catalogues should present a letter from these confirming
their right of representation.
4.
The Organizers may, when necessary; require documents which confirm
any of the items mentioned above.
5.
The Organizers may freely reject any application they feel that
the application in question is neither within the scope of the Exhibition
nor the objectives of the same, or should they believe that, for
any reason, it may be detrimental or inconvenient to the Exhibition.
CHAPTER II
EXHIBITION TERMS ANS CONDITIONS AND APPLICATION REQUEST
Article 9 – Application
1.
In order to make the application request, one should return the
completed APPLICATION FORMS in duplicate, together with payment
prove correspond of the rate established in the Appendix.
2.
Application must be received by the date set in the Appendix otherwise
those who are interested in participating may have their requests
denied.
3.
The Exhibition’s applications suppose the full acceptance
of the clauses of the present Regulations as well as the Appendix
however it does not grant the enrolling party the status of Exhibitor.
4. The Organizers are entitled to decide on the allocation of the
space and location required by each enrolling party.
5. The Organizers shall inform the Application of their application
and oh the space and location forms force the Exhibitors to the
full payment of the request.
6.
The installment of the location fee sent in with the application
shall be refunded should the Organizers, in accordance with the
terms of the item 5 of article 8, refuse an application.
Article 10 – Cost of Exhibition space
1.
The cost of the space for Exhibitions shall be set in relation to
the area and the location occupied by the Exhibitor in accordance
with the price list detailed in the Appendix to these General Rules
and regulations.
2.
The payment shall be as listed in the Appendix.
3.
The payments, once made, shall be refunded even when the Exhibitor,
for reasons beyond the control of the Organizers, does not occupy
his stand, except for the established in article 11.
4. The Organizers reserve the right to exclude an Exhibitor should
he fail to pay any of the installments stipulated in the Appendix
without the payment of any form of indemnification.
CHAPTER
III
SERVICES
Article
11 – General services
1.
The general lighting of the Exhibition halls, as well as of the
surrounding outdoor areas, is supplied by the Organizers.
2.
The Organizers shall be responsible for the safety of the Exhibition
halls, as well as the cleaning of the public areas within the Exhibition
halls.
Article
12 – Electricity
1.
Should the amount of power consumed in a stand be grater than that
requested, with the resulting triggering of the circuit breakers,
the Organizers may restore the supply of power upon payment of an
additional connecting fee to be established, according to technical
and functional availability.
2.
Exhibitors must take all appropriate measures to guarantee that
duly accredited Organizers employees have easy access to the place
whether their electric installation is linked to the permanent power
outlets.
3.
Each Exhibitor shall be responsible for defraying the cost of the
repair of any damages to the electric infrastructures, immediately
after being presented with the bill for this service. The original
deposit paid by the Exhibitor shall be held on account until the
aforementioned bill has been totally settled.
4. The Organizers decline all liability in the case of any accident,
loss or damage resulting from:
- Cuts
in the power supplied by the public power grid;
- Variations in the power supplied by the public power grid, including
power surges caused by atmospheric or other phenomena.
CHAPTER IV
STANDS
Article
13 – Size of the stands
A basic
stand shall measure desde 9 a 90 m2 .
Article
14 – Location
The
distributions of the stands, as well as their location within the
hall, are the exclusive responsibility of the Organizers.
Article
15 – Change in location of the stands
1.
The Organizers reserve the right to change the location, area of
arrangement of a stand should this be in the general interest of
the Exhibition.
2. When, in accordance of the general layout of the Exhibitor loses
part of the space he had been attributed, he is entitled to a refund
of the amount paid for the space he as lost.
3. When, for purposes of the general layout of the Exhibition, it
is felt that the Exhibitor should be given more space, he shall
only pay for this additional space if be agrees to this change.
Article
16 – Construction and flooring
1.
Nothing may be attached to or painted on the concrete floors and
walls of the Exhibition hall. The floor of the stands may be covered
by any material the Exhibitor chooses to use, but he is expressly
forbidden to use any type of glue or self-adhesive tapes.
2. It is forbidden to hang anything from the overhead beams of the
hall, from the water, electricity or heating lines. Is is not allowed
the impairing of walls, ceilings and floors.
3. Stands may not be built by carpenters within the Exhibition hall.
Stands may only be assembled from pre-designated movable panels.
Article
17 – Mounting and Dismounting of the stands
1.
The construction and decoration may not begin without the presentation
of the credential letter by the Organizers.
2. The period set for assembling stands shall be detailed in the
Appendix. The Organizers shall inform the Exhibitors of any changes
in these dates.
3.
The Organizers reserve the right to make its own use of any space
attributed to an Exhibitor should this not be occupied 24 hours
prior to the opening of the Exhibition.
4.
The Organizers reserve the right to make its own use of any stand
attributed to an Exhibitor should this not be completely assembled
and containing the Items declared in the bulletins, 12 hours prior
to the opening of the Exhibition.
5.
Exhibitors shall dismount their stand during the pre-set days and
items.
6.
This work, together with the repairs of any damages caused within
the Exhibition hall, may only be carried out during the period mentioned
in Item 7.
7.
At the end of this period, the Organizers shall order the removal
and storage of any remaining articles or goods.
8.
Exhibitors shall defray the cost of disassembling, transporting
and storing the goods referred to in Item 9. Furthermore, the Organizers
decline any responsibility for the theft or damage to the goods
or products in question.
9.
The assembly of stand`s alone is allowed the companies of Angolan
Right .
Article
18 – Decoration and layout of the stands
1.
The decoration and interior lighting of the stands, as well as the
layout of the products on exhibit, are the exclusive responsibility,
are of the exclusive responsibility of the Exhibition who shall,
nevertheless, be under overall supervision of the Organizers.
2.
The decoration and structure of the stands may not, without express
permission:
a)
Limit the visibility of adjoining stands;
b) Exceed a height of 2,50 m;
c) Occupy more than one story;
d) Extended beyond the area attributed;
e) Include flashing or animated lights or displays that may be detrimental
to other stands.
3.
The Organizer may order changes in the size of signs and symbols
or in the decoration, should this not conform to the approved plans.
4. The Organizers may close or order the removal of objects from
a stand at any time, should it judge these to be defective, dangerous,
detrimental to or incompatible with the objectives and/or the scope
of the Exhibition.
5.
Exhibitors shall defray the cost of any lighting within their stands.
Article 19 – Cleaning
1. The Exhibitor is responsible for the cleaning of the stand, as
well as the removal of garbage to the places indicated by the Organizers.
2.
The stand can be cleaned by the Exhibitor’s permanent staff
or by a staff requested to the Organizers.
3.
After the closing of the Exhibition, the Exhibitor must leave the
stand cleaned. Otherwise, the Organizers will proceed with the necessary
cleaning, and will apply the respective change.
Article
20 – Safety and fire protection
1.
Under no circumstances, should one obstruct the emergency exits
wholly or partially, or interfere with the visibility and access
to extinguishers, fire cocks and water points.
2.
All stands with an area equal or superior to 36 m2 must have the
following fire extinguishers:
a)
1 fire extinguisher in stands with area from 36 m2 to 108 m2.
b) 2 fire extinguishers is stands with an area superior to 108 m2.
3.
Except in case of previous authorization of the Organizers, the
Exhibitor cannot perform demonstrations using any type of material
or equipment at open fire.
4.
Except in case of previous authorization of the Organizers, the
Exhibitor are entitled to determine the conditions under which the
said equipment can be exposed.
5. Except in case of previous authorization of the Organizers, the
deposit and use of bottles containing liquid gas inside the building
is not allowed.
6.
Should the Exhibitor wish to use laser light, the energy of the
beam cannot be superior to2,5mW/m2. For superior power, the laser
beam must be completely shielded.
7.
Inside the buildings and the stands, only motor vehicles with empty
fuel tank locked and disconnected battery can be displayed.
Article
21 – Infractions
The
Organizers reserve the right to order the closing of a stand should
there be any infraction of the Items referring to the decoration
and construction of stands, as well as fire safety and protection
Article
22 – Transfer of site
1. Exhibitors and participants are expressly forbidden to cede all
or part of the space they have been attributed, without this having
been previously authorized in writing by the Organizers.
2.
It is equally forbidden to exhibit products manufactured by other
parties who are not represented by the holder of the stand.
3.
The Organizers reserve the right to order the removal of all unduly
exhibited products from the stands should there be any infraction
of Items 1 or 2 of this article.
CHAPTER
V
CARDS
Article
23 – Credential letters
These
letters officially grant an Exhibitor the right to assemble a stand.
These shall only be supplied after the full payment of all moneys
due.
Article 24 – Mounting / dismounting cards
1.
Mounting/dismounting cards are granted according to the occupied
space, as established in the Appendix, and their validity shall
be restricted to that period.
2. The staff in charge for mounting and dismounting the stands shall
use the respective cards given by the Organizers to the Exhibitor.
Article 25 – Exhibitor cards
1.
The Exhibitor cards shall be valid during the Exhibitor period and
they are designed for the stands staff.
2.
They shall be provided according to the occupied space, as established
in the Appendix.
Article 26 – Trade visitor cards
These
cards shall be given to trade visitors and shall be valid for the
dates and times specified. They shall be distributed in accordance
with the criteria ser forth in the Appendix.
Article
27 – Free parking cards
The
Organizers reserve the right to supply and to stipulate the number
of cards to attribute to each Exhibitor.
Article
28 – Infractions
All
admission cards are strictly personal and strictly personal and
untransferable. Any infraction shall result in the apprehension
of the said cards. Exhibitors do not have the right to be indemnified
for their cancellation nor to be supplied new cards.
CHAPTER
VI
PUBLICITY AND CATALOGUE
Article
29 – Publicity
1.
Exhibitors shall limit their publicity to the space attributed and
occupied by them.
2. All graphics publicity outside the stands, as well as sound,
cinematographic or televised advertising, is of the exclusive responsibility
of the Organizers, or must be authorized by it.
3.
The Organizers shall advertise the Exhibition as it sees fit, through
the appropriate media.
4. The Organizers reserve the right to film, televise, photograph
or use any means to visualize the installations and the views of
the Exhibition.
5.
The Organizers reserve the right to take pictures, draw schematic
drawings and film the objects displayed for publicity or documentation
purposes.
6.
Exhibitors are not allowed to take pictures, unless otherwise previously
authorized by the Organizers.
7.
In case authorization is given, the Exhibitor shall contact the
Organizers photographers.
8.
Should an Exhibitor wish to use other photographers, he shall submit
his request in writing to the Organizers, one week before opening
of the Exhibition.
Article
30 – Official Catalogue
1.
The Organizers are exclusively responsible for the Exhibition Official
Catalogue, and each Exhibitor is entitled to one free copy of the
catalogue.
2.
Listings in the Official Catalogues of Exhibitions are regulated
in the Appendix.
3.
The Exhibitors may advertise in the Official Catalogue. The cost
of advertising, payment conditions and deadlines for sending in
text and designs, are indicated in the Appendix.
Article
31 – Program of Activities
Debates,
lectures and other important activities may also organized, as indicated
in the Appendix.
CHAPTER
VII
CIVIL RESPONSIBILITY, INSURANCE AND COMPLAINTS
Article
32 – Responsibilities and duties of the Exhibitor
1.
Although the Organizers shall have taken all the precautions necessary
to safeguard the products on exhibit, the safety of these shall
always be considered to be the sole responsibility of the Exhibitor.
2.
Any damages or losses to the Exhibitors, their staff, or their products,
regardless of the nature or the circumstances under which these
may occur, namely fire or theft, are exclusively responsibility
of the Exhibitor or participant.
3. Exhibitors and participants installed within the Exhibition hall
shall be held responsible for any damages caused, directly or indirectly,
on the hall, stands or products of other Exhibitors.
4. In accordance with the previous Item, Exhibitors and participants
shall, after the closure of the Exhibition, return the stands and
their respective flooring in the same condition as they received
them except for normal wear and tear. In case of damages , the Organizers
will proceed to all necessary repairs and bill the occupant of the
damaged area or stand.
5. In accordance with the previous Item, the Exhibitor is responsible
for informing the Organizers of any prior damage to the space reserved
for him so that he may not be held liable at the end of the Exhibition.
6.
Each Exhibitor shall be responsible for the security of his exhibit
and the products exhibited.
Article 33 – Goods left behind by Exhibitors
1.
Goods left behind by Exhibitors in Expo Angola SA facilities after
each Fair must be listed and declared to the client manager assigned
thereto.
2.
The listed goods will be stored in Expo Angola SA warehouse, for
a period of there months.
3.
If the goods are not removed by the Exhibitor within the period
specified above, this implies the irrevocable waiver of any rights
to the goods in question or to claim any liability for these from
Expo Angola SA.
Article 34 – Insurance
1.
Each Exhibitor is responsible for the insurance of his products
and materials exhibit.
2.
The Exhibitors should also make an insurance for civil responsibility
to the amount defined by the Organizers, which covers the damages
and impairments caused on the Exhibition hall and/or stands of other
Exhibitors.
3.
The Exhibitor must also ensure they take out 3rd party liability
insurance coverage, including visitors to the fairs.
Article 35– Complaints
The
Exhibitor’s complaints must be submitted in writing to the
Organizers within 48 hours.
CHAPTER VIII
FINAL CLAUSES
Article
36 – Temporary importation of products
The
temporary importation of products to be exhibited is governed by
current legislation.
Article
37 – Private States
1.
Private sales (i.e., actions across-the counter sales and deliveries)
of article is expressly forbidden, except in those cases detailed
in the Appendix.
2.
Samples may only be delivered after the closure of the exhibition.
Article 38 – retention of goods on exhibit
1.
Should the Exhibitor not comply with his obligation to the Organizers,
the latter reserves the right to embargo the goods and products
exhibited and only restores then to their owners after the complete
compliance of the aforementioned obligations.
2. The goods and products mentioned in Item 1 may be stored in terms
and under the conditions referred to in Item 1 may be stored in
terms and under the conditions referred to in Items number 9 and
10 of article 24.
Article
39 - Noise
All
types of loud-speakers are forbidden on stands, as well as any type
of noise that might disturb or be otherwise detrimental to the success
of the Exhibition.
Article
40 – Infractions to the General Rules and Regulations and
Appendix
1.
In case of an infraction of this General Rules and regulations and
the Appendix, The Organizers reserve the right to take any measure
that it feels necessary, including canceling all the rights of the
Exhibitor who thereby abdicates his right to any indemnification
or reimbursement.
2.
In case of serious infraction detected during the Exhibition, the
Organizers may order the immediate closure of the Stand and forbid,
temporarily, the participation of the Exhibitor in future Trade
Fairs.
Article
41 - Jurisdiction
All
litigation between the Organizers and the Exhibitor arising from
the application of the General Rules and regulations and / or Appendix
shall be settled in the District of Luanda Courts.
